Software & AI Technical Due Diligence

Understand the software risk behind the asset.

Scoped architecture, software and AI investigation for an investment, acquisition or seller-preparation decision, with clear specialist and lead-provider responsibilities.

What you receive

The result of this engagement.

  1. A scoped technical assessment and fragility/risk matrix.
  2. Remediation or rebuild considerations with assumptions and confidence bands.
  3. Decision implications and a clear record of coverage, limitations and specialist contributions.

When this helps

Recognize the situation.

  • A private equity or corporate buyer needs the software and AI risk behind an acquisition.
  • An investment case depends on the maintainability and credibility of a software asset.
  • An AI-built product needs examination beyond a successful demonstration.
  • A broader diligence provider needs architecture or AI specialist contribution.

How the work unfolds

Evidence appropriate to the question.

01

Agree the scope of the transaction review

Set the technical questions, materiality, evidence access, timeline and relationship to the overall diligence lead.

02

Investigate the asset

Examine relevant architecture, code, operating evidence, data/AI dependencies and key-person exposure.

03

Translate findings into deal implications

Explain fragility, remediation paths, estimate confidence and questions that affect reliance or negotiation.

Scope & responsibility

Agree the depth. Keep the boundaries clear.

Scope of the engagement

The principal owns the integrated recommendation for the agreed architecture, software and AI workstream. The overall due diligence lead integrates our findings into the full review. Expertise, coverage and evidence access are agreed for the actual engagement.

Appropriate reliance

Legal, financial, commercial, full cyber and regulatory diligence are not automatically included. Where wider coverage is needed, an appropriately qualified lead and specialists must be agreed.

One accountable principal. The named architect directs the work and owns the integrated recommendation. Relevant specialists contribute where agreed. Client and partner teams implement and operate; clients retain final business and acceptance decisions.

The agreed engagement sets the coverage, deliverables, responsibilities, timing and fees. Changes to that scope are agreed explicitly.

Relevant experience

Read the work in its actual context.

The paid product assessment demonstrates investigative work, not a transaction mandate. The buy-side contribution is attributed prior-employment experience.

Practical questions

Before engaging us.

Do you cover the full scope of technology due diligence?

The engagement must specify the scope and responsibilities. Sparkling can contribute scoped architecture, software and AI expertise; broader lead-provider responsibilities require explicit qualification and coverage.

Can you support seller preparation?

A separately scoped readiness and evidence-preparation engagement can identify technical questions before a transaction. It is distinct from an independent buyer-side opinion.

What is the decision you need to make?
